CI Radar LLC Terms of Use

1.  General

Thank you for visiting our website at ciradar.com (hereinafter, the “Website”). CI Radar LLC (“CI Radar, we or us”) owns and operates the Website and its subdomains.  Your use and access of the Website, the CI Radar dashboard (“Dashboard”), and the information and content available through the Website and Dashboard (collectively, the “Services”) are governed by these Terms of Use (“Terms of Use”).  Please read the Terms of Use carefully because they constitute a binding legal agreement between you (“User” or “you”) and CI Radar.

By clicking, accessing, or using the Services, you affirmatively accept these Terms of Use and any revisions. You should therefore periodically visit this page to review the current Terms of Use.  Access or use of the Services following any change to the Terms of Use constitutes your agreement to those changes.  IF AT ANY TIME YOU CHOOSE NOT TO ACCEPT THE TERMS OF USE, YOU SHOULD IMMEDIATELY STOP ACCESSING OR USING THE SERVICES.

CI Radar may, at its sole discretion, and at any time, discontinue or prevent your use of the Services, or any part thereof, with or without notice to you. You agree that you do not have any rights in the Services, and that CI Radar will have no liability to you if: (a) the Services are discontinued; (b) your ability to access the Services is terminated; or (c) your ability to access any content you may have posted on the Website or through the Dashboard is terminated.

If you are granted access to the Services through a written client agreement between CI Radar and a “Customer” (wherein the Customer is an individual purchaser on behalf of an organization), then your access is also subject to that separate, legally binding contract (“Customer Contract”).   To the extent that your Customer Contract conflicts with the Terms of Use, your Customer Contract governs.

2.  Rights to Use Services

The User shall have a non-exclusive, non-transferable, limited right to access and use the Services for its informational or internal business purposes and for no other purposes.  The Services may not be used by anyone under the age of 13.  

3.  Authorized Users

Some portions of the Services, such as the Dashboard, may only be accessed and used by authorized Users who are registered with CI Radar and subject to a Customer Contract (“Authorized Users”).  Authorized Users are required to create a User account to access the Dashboard.  In registering for the Dashboard, CI Radar may collect Authorized Users’ personal information such as names, email addresses, and business contact information. If an Authorized User’s business contact information includes an address outside of the United States, CI Radar may also obtain the Authorized User’s country of residence to send the Authorized User additional consent forms required by that country’s regulations.  Customer and/or the Authorized User shall submit accurate, current and complete information about each Authorized User, and Customer understands that it is responsible for obtaining this information.  Should CI Radar suspect that such information is untrue, inaccurate, not current or incomplete, CI Radar has the right to suspend or terminate the Customer’s, and each of the Authorized Users’, use of the Dashboard and the Services.  Authorized User information will be used to provide the access to the Dashboard, and may be used to provide training to the Authorized User. Authorized User information may also be disclosed to the Customer or other users of the Customer when an Authorized User signs in to the Customer portal through the Dashboard and comments on materials. Authorized User accounts cannot be "shared" or used by more than one individual.  Authorized User rights of an individual can be transferred to a new User only if a previous Authorized User becomes inactive first.

4.  Duties of those Accessing or Using the Services

The Customer and Authorized User agree to and acknowledge the following terms regarding their use of the Services:  (i) Customer and Authorized User are fully responsible for all of the Authorized Users’ activities that occur under the User account; (ii) Customer and Authorized Users are responsible for maintaining the confidentiality of the Authorized User’s passwords and User names, and agree that they will not hold CI Radar liable for any breach of confidentiality; (iii) Customer is responsible for obtaining written consent from its Authorized Users regarding CI Radar’s collection, use and transfer of any Authorized User’s applicable personal data used to provide the Services, which will be in addition to consent obtained by CI Radar;  and (iv) Customer shall immediately notify CI Radar of any unauthorized use of its or its Authorized Users’ account or any other breach of security that is known or suspected by Customer.

The Customer and User (including, but not limited to, Authorized Users) also agree to the following terms regarding their use of the Services: (i) Customer and User shall not use the Services in any manner that violates any applicable law; (ii) Customer and User shall not violate or attempt to violate or circumvent any security procedures of the Services; and (iii) In addition to any responsibility held by any Customer, User is fully responsible for its actions that occur through its use of the Services.

5.  Reservation of Rights

All rights not expressly granted by CI Radar to the User and/or Customer to use the Services are reserved to CI Radar.  Customers and Users shall not have the right to modify, translate, reverse engineer, disassemble, decompile or create derivative works of any of the CI Radar Proprietary Rights (as defined in Section 7).  Unless authorized by contract, neither the User nor Customer shall have the right to (i) license, sublicense, sell, resell, share, transfer, assign, distribute or otherwise commercially exploit or make available to any third party the Services in any way or (ii) “frame” or “mirror” any content from the Services on any server or wireless or internet based device. CI Radar reserves the right to make changes to any module of the Services that it deems necessary or useful.  CI Radar also reserves the right to introduce new products, services, or features that are not currently part of the Services. All new products, services, or features that are intended to enhance the Services shall be subject to the Terms of Use.

6.  Third Party Sites

The Services contain links to other websites or integrations with other websites operated by third parties that are not affiliates of CI Radar ("Linked Sites"). CI Radar neither controls nor endorses the Linked Sites, nor have we reviewed or approved any content that appears on the Linked Sites.  You acknowledge that CI Radar neither endorses nor is affiliated with the Linked Sites and is not responsible for any content that appears on the Linked Sites.  You also acknowledge that the owners of the Linked Sites neither endorse nor are affiliated with CI Radar. As such, our Terms of Service and Privacy Policy do not apply to the Linked Sites and Users are encouraged to review the Terms of Use and Privacy Policies of those sites upon access.

7.  Proprietary Rights.

CI Radar (and its licensors, where applicable) owns or controls and retains all right, title and interest in and to its intellectual property, including the design, look, feel, features, source code and other technology making up the Services(the “CI Radar Proprietary Rights”). By granting you access to the Services, CI Radar is not transferring any title, ownership interest or other rights in CI Radar Proprietary Rights to you, and User and Customer agree they have not obtained, and shall not assert, any right, title or interest in or to CI Radar Proprietary Rights or derivative works thereof.  CI Radar owns all rights, title and interest to any suggestions, ideas, feedback, improvements, recommendations or other information created, conceived, or reduced to practice, by or on behalf of the Customer or User relating to the Services and CI Radar Proprietary Rights.

8.  Confidentiality

CI Radar will maintain: (1) information provided by User or Customer to CI Radar pertaining to User, Customer, or Customer’s business; (2) information that may result from the provision of Services to the Customer; and (3) information that may be accessed, collected, generated or retrieved by CI Radar in the course of providing the Services to Customer or User (“Confidential Information”), in strictest confidence, using measures not less stringent than CI Radar uses for its own most confidential or sensitive information. However, Customer agrees that while CI Radar agrees to keep Confidential Information secure to the best of its ability, information submitted over the Internet is not always completely secure.

Limitation on Use. CI Radar will access, use, and disclose Confidential Information only when it is necessary to provide the Services, for law enforcement purposes, or in the event of the sale, merger, or transfer of all or substantially all of our assets.  

9.  Disclaimer of Warranties, Limitation of Liability, and Related Matters

9.1 Warranty. CI Radar warrants that the Services will have the features and functionality as expected in the ordinary course of business or as set forth in the Customer Contract, under normal use and circumstances.  CI Radar’s sole obligation to Customer for a breach of the foregoing warranties shall be subject to terms of the Customer Contract.  If a breach of this warranty substantially interferes with the Customer or User’s use of the Service, CI Radar’s sole obligation is to the Customer and shall be subject to terms of the Customer Contract.   CI Radar will not be liable to any User that is not an Authorized User for any breach of the foregoing warranties.

9.2 Disclaimer of Warranty. OTHER THAN EXPRESSLY PROVIDED FOR IN SECTION 9.1, CI RADAR AND ITS LICENSORS MAKE NO REPRESENTATION, WARRANTY, OR GUARANTY AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, TRUTH, AVAILABILITY, ACCURACY OR COMPLETENESS OF THE SERVICE AND THE INFORMATION AND REPORTS DERIVED FROM THE SERVICE AND THE LINKED SITES.  CI RADAR AND ITS LICENSORS DO NOT REPRESENT OR WARRANT THAT (A) THE USE OF THE SERVICE WILL BE SECURE, UNINTERRUPTED OR ERROR FREE, OR (B) THE SERVICE OR THE SERVERS THAT MAKE THE SERVICE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ALL CONDITIONS, REPRESENTATIONS, AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE, ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW BY CI RADAR AND ITS LICENSORS.

9.3 Limitation of Liability CI Radar shall not have any liability to the Customer or User whatsoever for any damage, expense or loss of any kind, in connection with or arising from any decision made or action or non-action taken by it in reliance upon any Content derived from the Services or any of its Linked Sites.  In no event shall CI Radar be liable to the Customer or User for any indirect, special, incidental, consequential or punitive damages regardless of whether CI Radar has been advised of the possibility of such damages.  CI Radar’s total liability for any liability, losses, expenses or damages hereunder or in connection with the use of the Services under any circumstances whatsoever, shall not exceed the fees paid to CI Radar under the Customer Contract with respect to such Services. 

9.4 Related Matters. If using our Services on behalf of a business, that business accepts these terms.  The business will hold harmless and indemnify CI Radar and its affiliates, officers, agents, and employees from any claim, suit, or action arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgements, litigation costs, and attorney’s fees.

10.  General Provisions

These Terms of Use shall be binding upon accessing the CI Radar Website or Services.  No portion of this Agreement may be assigned or transferred (directly, operation of law or otherwise) by Customer or User without the prior written consent of CI Radar.  Any provision of these Terms of Use held or determined by a court of competent jurisdiction to be illegal, invalid, or unenforceable in any jurisdiction shall be deemed separate, distinct and independent, and shall be ineffective to the extent of such holding or determination without invalidating the remaining provisions of these Terms of Use in that jurisdiction. These Terms of Use shall be governed by and construed in accordance with the laws of the State of Georgia without giving effect to conflicts of law. 

11.  US Digital Millennium Copyright Act (DMCA)

We respond to notices of alleged copyright infringement and terminate accounts of repeat infringers according to the process set out in the US Digital Millennium Copyright Act.  If you would like to report a copyright violation, please contact us at the contact information provided in Section 15.

12.  Opt-Out Policy

CI Radar may attempt to communicate with our Users through email in the ordinary course of business, to provide products, content, or services requested, to notify the User about product or service changes, to provide newsletters or information that may be pertinent to the User, in response to a communication initiated by the User, or regarding your User account, if applicable. Users may opt-out of receiving communications from CI Radar by contacting us at the contact information provided in Section 15.  

13.  Amendments

CI Radar reserves the right to amend the Terms of Use at any time by reasonable notice, including without limitation by posting revised terms on its website at the URL ciradar.com/terms. The amended Terms of Use shall be binding upon Users upon accessing the Website or using the Service. You may see the date of the last amendment by looking at the date listed at the top of the Terms of Use.

14.  Privacy Policy
